EgoZ Terms of Service (DRAFT)

These Terms of Service ("Terms") govern your access to and use of EgoZ (the "Service"), operated by [LEGAL ENTITY] ("EgoZ", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organisation, you represent that you may bind it.
1. The Service
EgoZ is a platform for building and operating AI agents — including retrieval-augmented generation over your uploaded knowledge, tool/endpoint integrations, and configurable agent personality and prompts. You access it via the Console and the EgoZ API.
2. Accounts
You are responsible for your account credentials and for all activity under your account and projects. Provide accurate information and keep it current.
3. Bring-Your-Own-Key (BYOK)
The Service requires you to supply your own third-party LLM provider API key(s) (e.g. OpenAI, Anthropic, Azure OpenAI). EgoZ does not provide, resell, or fund model inference. You are solely responsible for:
- your agreement with, and payment to, your model provider;
- your provider key's scopes, limits, and rotation;
- compliance with your provider's terms.
We store your provider keys encrypted at rest and use them only to execute your own requests. We never display the key back to you in full.
4. Acceptable use
Your use is subject to the Acceptable Use Policy (the "AUP"), which is incorporated into these Terms. In particular, the Service must not be used to process protected health information (PHI) or other regulated data (see the AUP). We may suspend or terminate access for AUP violations.
5. Your content
"Customer Content" means data you submit — knowledge-base documents, prompts, tool definitions, messages, and configuration. You retain all rights to your Customer Content. You grant us a limited licence to host and process it solely to provide the Service. Our processing of personal data within Customer Content is governed by the Privacy Policy and, where applicable, the DPA.
6. Fees

7. Service changes & availability

8. Third-party services
The Service transmits your requests to the model provider you configure and relies on the infrastructure subprocessors listed at Subprocessors. Your use of those third parties may be subject to their terms.
9. Termination
You may stop using the Service at any time. We may suspend or terminate for breach (including AUP breach) or as required by law. On termination, we will delete or return Customer Content per the Privacy Policy / DPA and applicable retention periods.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. AI outputs may be inaccurate; you are responsible for reviewing outputs before relying on them. EgoZ is not responsible for decisions made based on Service outputs.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EGOZ'S AGGREGATE LIABILITY IS LIMITED TO [THE FEES PAID IN THE PRECEDING 12 MONTHS / OTHER CAP], AND EGOZ IS NOT LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES. [Counsel to finalise.]
12. Indemnification
You will indemnify EgoZ against claims arising from your Customer Content or your breach of these Terms or the AUP (including any submission of regulated data in violation of the AUP).
13. Governing law & disputes

14. Changes to these Terms
We may update these Terms; material changes will be notified [e.g. via the Console or email]. Continued use after changes constitutes acceptance.
